） Abstract： So far, “corporate governance” is still comparatively a fresh term with only about twenty years in existence
But its importance has been standing out since Enron scandal
This paper looks into the role of corporate governance followed by a comparison of outsider and insider patterns that are two most popular patterns of corporate governance in business practice among the industrialized economies
This comparison leads to an argument that the outsider pattern is inclined to satisfy investors while the insider pattern has a disposition to aid firms to develop the capabilities likely to generate sustained competitive advantages
